Responsible Investment encompasses corporate governance, shareholder activism and social, environmental and ethical (SEE) considerations. The Railways Pension Trustee Company Limited (the Trustee Company) believes that companies with interested and involved shareholders are more likely to achieve superior long-term financial performance than those without.
We believe that our fund managers and voting overlay managers have a major role to play in ensuring that companies are run in a manner consistent with our pension schemes’ best interests. We strongly support the behavioural principles set out by the Institutional Shareholders’ Committee (ISC) and we expect our external fund managers to comply with them and to report on the corporate governance activity they undertake on the Trustee Company’s behalf. This also extends to SEE matters that the fund managers consider are likely to have a material impact on the portfolio.
The Trustee Company has published its own detailed corporate governance policies and voting guidelines for the world’s major stock markets. These policies are applied to all listed companies, including those that participate as employers in railway industry pension schemes. We review and refresh these policies at regular intervals. In the UK, we have a joint corporate governance policy with the Universities Superannuation Scheme (USS).
